The affairs of the Research Corporation of the University of Hawaiʻi are under the general management and control of its Board of Directors. The Board consists of eight members:
- Two members of the Board of Regents of the University of Hawaiʻi, selected by the Board of Regents.
- Three members appointed by the Governor:
- 1 member from the University of Hawaiʻi system research faculty
- 1 member from the business sector, and
- 1 member from a non-University of Hawaiʻi research organization
- One member appointed by the President of the Senate
- One member appointed by the Speaker of the House of Representatives
- One member being the Vice President for Research of the University of Hawaiʻi system (ex-officio, non-voting)
